Introduction

These Sales Terms and Conditions govern the sale of products by UroPharma (UK) Limited and our authorized distributors. By placing an order, you agree to be bound by these terms.

UK Distribution

IMPORTANT: In the United Kingdom, dtb-instiller and related products are distributed exclusively through Manfred Sauer UK.

Orders placed directly with UroPharma (UK) Limited for UK delivery will be redirected to Manfred Sauer UK.

Eligibility

Our products are medical devices intended for use by healthcare professionals or under their supervision. Orders may only be placed by:

Licensed healthcare facilities
Registered healthcare professionals
Authorized distributors
Patients with a valid prescription (where applicable)

We reserve the right to verify credentials and refuse orders that do not meet eligibility requirements.

Ordering Process

Orders may be placed through:

Our authorized distributor (Manfred Sauer UK for UK orders)
Direct contact with our sales team (for non-UK territories)
Approved online ordering systems

All orders are subject to acceptance. We reserve the right to refuse any order at our discretion.

Pricing and Payment

Prices are quoted in the applicable currency and are subject to change without notice. Prices do not include:

Value Added Tax (VAT) or other applicable taxes
Shipping and handling charges
Import duties or customs fees

Payment terms will be specified on the invoice. Standard payment terms are net 30 days from invoice date unless otherwise agreed.

Delivery

Delivery times are estimates only and are not guaranteed. We will make reasonable efforts to meet delivery dates but are not liable for delays.

Risk of loss passes to the buyer upon delivery to the carrier. Title passes upon receipt of full payment.

The buyer is responsible for inspecting products upon delivery and reporting any damage or discrepancies within 48 hours.

Returns and Refunds

Due to the nature of medical devices, returns are generally not accepted except in cases of:

Manufacturing defects
Shipping damage
Incorrect products shipped

Returns must be authorized in advance and made within 30 days of delivery. Products must be unopened and in original packaging. Restocking fees may apply.

For defective products, we will replace or refund at our discretion.

Product Warranty

We warrant that products will be free from defects in materials and workmanship for the period specified in the product documentation. This warranty does not cover:

Damage from misuse or improper storage
Products past their expiration date
Products that have been opened or used
Normal wear and tear

Our liability under this warranty is limited to replacement or refund of the purchase price.

Regulatory Compliance

Buyers are responsible for ensuring that:

Products are used in accordance with applicable regulations
Required licenses and permits are obtained
Products are stored and handled properly
Adverse events are reported to appropriate authorities
Products are not resold without authorization

Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim arising from the sale of products shall not exceed the purchase price of the products.

We are not liable for any indirect, consequential, special, or punitive damages, including loss of profits, business interruption, or loss of data.

Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

Governing Law

These Sales Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
